The growth of Tessian shares before the transaction with T-Technologies was suspected from the inside. Between October 26 and November 5, Tessian's securities on the Moscow Stock Exchange rose by almost 16%, that is, even before the announcement of the transaction. This raised suspicions of a data leak. News of the Matos agreements on October 28 could support interest in the real estate sector, but to explain all the growth would be too bold, said Liberty Global analyst Vladimir Cherov. It is impossible to prove insider trading yet: it requires data on offers, their transactions and access to non-public information. On November 6, T-Technologies announced its intention to purchase up to 100% of the shares of the real estate market. The offer price was 993.05 paper rubles, which is 29.3% higher than the price of the last transaction on November 5. The entire package was valued at about 77 billion rubles, or about 19 of the company's annual profits. The deal is planned for the first quarter of 2027. The high price is mainly due to the results: in the first half of 2026, the company's revenues under IFRS increased by 20.5%, adjusted EBITDA by 68.2%, and net profit doubled. The motives of most of the shareholders have not yet been revealed. T-Technologies, in turn, will get not only control over a profitable business, but also access to an audience of buyers and sellers of real estate, who can offer mortgages, insurance and settlement transactions. 😀 All the experts are here at Max.
